Telix Pharmaceuticals has successfully acquired RLS (USA) Inc., a leading radiopharmacy network in the U.S. and the only one accredited by the Joint Commission. This acquisition significantly strengthens Telix’s presence in the U.S. market, where it now operates a network of over 30 radiopharmacies that distribute PET, SPECT, and therapeutic radiopharmaceuticals from both Telix and other companies. The transaction also brings in a team of highly skilled professionals with expertise in radiopharmaceuticals.
The acquisition is part of Telix's broader strategy to establish a fully integrated radiopharmaceutical ecosystem. This will enhance its ability to deliver innovative therapeutic and diagnostic radiopharmaceuticals to patients more efficiently. RLS’s network includes over 100,000 square feet of licensed space, which presents an opportunity for Telix to build a next-generation radiometal production network. This expansion will benefit Telix, its commercial partners, and ultimately, patients.
Additionally, the acquisition will strengthen Telix’s commercial infrastructure and distribution capabilities, particularly in its largest market—the United States. It enables Telix to leverage in-house cyclotron manufacturing using its ARTMS QUANTM Irradiation System (QIS) technology, allowing for standardized, high-efficiency, and cost-effective production of radiometals.
Under the terms of the deal, Telix acquired 100% of RLS (USA) Inc. for an upfront payment of $230 million, subject to adjustments for cash, debt, and transaction expenses. There is also the possibility of up to $20 million in deferred cash consideration, contingent on achieving certain operational and financial milestones in the year following the acquisition. The purchase was funded from Telix’s existing cash reserves.
